Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Merchant", "you", or "your") and Nazmul Codes ("we", "us", "our"), the operator of the Stockly Shopify application ("Stockly" or the "Service"). By installing, accessing, or using Stockly, you acknowledge that you have read, understood, and agree to be bound by these Terms.

1. Description of Service

Stockly provides inventory level monitoring, multi-channel stock notifications (Email, Slack, and Webhooks), automated purchase order drafting, supplier relationship management, inventory transfers, shipment tracking, sales velocity estimation, and demand forecasting tools for Shopify merchants. Features vary depending on your selected subscription plan (Basic, Professional, Enterprise, or promotional access).

2. Merchant Store Protection & Non-Destructive Operations

We are committed to the highest standards of safety, stability, and data integrity for your Shopify store:

• Read-Mostly, Non-Invasive Architecture: Core monitoring functions—including stock-level tracking, threshold checks, digest summaries, and sales velocity calculations—are purely observational and read-only. Stockly does not modify product descriptions, pricing, product images, customer information, checkout flows, or storefront theme code.
• Isolated & Explicit Write Actions: Stockly only modifies store inventory quantities or product visibility when you explicitly trigger an action (such as receiving an inventory transfer, executing an inventory adjustment, or deliberately enabling optional features like "Auto-hide out-of-stock products").
• Namespaced Metadata Isolation: All custom data stored on your Shopify products or variants (such as supplier links, custom reorder points, and purchase order references) is written strictly within Stockly's dedicated, isolated metafield namespace (stockly). This ensures complete isolation with zero risk of conflicting with your store's theme, custom liquid code, or other third-party apps.
• Shopify API Leaky-Bucket Protection: All API requests, background synchronizations, and webhook processors operate with rate-limiting guards to ensure Stockly never exhausts your Shopify API rate limits or impairs your store's admin or checkout performance.

3. Eligibility & Authority

You must have an active Shopify store in good standing to install and use Stockly. You represent and warrant that you have the full legal right, power, and authority to bind your business or store entity to these Terms.

4. Subscriptions, Free Trials, and Billing

• In-App Subscription Plans: Stockly offers Basic, Professional, and Enterprise plans billed on a recurring 30-day cycle processed entirely through Shopify's official Billing API.
• Promotional & Trial Access: Complimentary promotional trials grant full plan access for a specified duration without upfront credit card charges. Upon promotional expiration, store monitoring transitions to the free tier unless you choose to upgrade.
• Cancellation: You may cancel your subscription at any time simply by uninstalling the app from your Shopify admin. Charges and credits are handled per Shopify's standard billing policies.

5. Shopify API, Permissions & Access Tokens

Stockly connects to your store via Shopify's official OAuth mechanism. We request only the minimum scopes necessary to monitor inventory and fulfill app features. In accordance with Shopify's security framework:

• Offline access tokens and 90-day refresh tokens are encrypted at rest and rotated securely.
• If an access token is approaching expiration, Stockly provides automated reminders for 1-click renewal via your Shopify admin.
• Uninstalling the application immediately revokes all OAuth permissions and terminates active webhook listeners.

6. Advisory Nature of Analytics & Forecasting

Stockly's reorder recommendations, days-of-stock estimates, demand forecasts, and lead-time calculations are computational estimates intended for operational guidance only. You acknowledge and agree that:

• Actual customer demand, seasonal spikes, supplier production speeds, and shipping transit times are subject to external market conditions outside our control.
• You remain solely responsible for reviewing and confirming all purchase orders, inventory counts, and supplier agreements prior to execution.

7. Third-Party Integrations & Courier Tracking

Stockly allows optional connections to third-party services—including Slack, Asana, Klaviyo, Shopify Flow, foreign exchange rate providers, and international courier tracking APIs (e.g., DHL, FedEx, USPS, 17TRACK). You acknowledge that:

• We do not control and are not responsible for the uptime, tracking precision, carrier status delays, or data policies of independent third-party platforms.
• Exchange rates for multi-currency purchase orders are sourced from public financial feeds for estimation purposes; actual bank settlement rates may vary.

8. Acceptable Use Policy

You agree that you will not:

• Use the Service in violation of any applicable laws, regulations, or Shopify's Partner and Merchant Terms of Service.
• Attempt to reverse-engineer, decompile, compromise, or bypass any security features or rate limiters of the Service.
• Use the notification features to transmit unsolicited commercial spam or defamatory material.
• Interfere with or disrupt the integrity or performance of the Service or its related systems.

9. Data Privacy, GDPR & Multi-Tenant Isolation

Your store's data is strictly partitioned by your unique Shopify store domain in an isolated multi-tenant architecture. We do not sell, rent, or monetize your store, inventory, supplier, or customer data. 10. Availability & Service Level Disclaimer

While we strive for 99.9% application uptime and reliable notifications, Stockly is provided on an "AS IS" and "AS AVAILABLE" basis. We are not liable for delayed, queued, or missed notifications resulting from:

• Shopify platform downtime, API outages, or webhook delivery backlogs;
• Third-party email provider outages, spam filtering, or network disruptions;
• Internet routing failures or telecommunication outages.

11. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WE EXPRESSLY DISCLAIM ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT GUARANTEE THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR COMPLETELY ERROR-FREE.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL NAZMUL CODES, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE TO YOU OR ANY THIRD PARTY FOR:

• ANY INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, COVER, OR CONSEQUENTIAL DAMAGES;
• ANY LOSS OF PROFITS, REVENUE, SALES, GOODWILL, USE, CONTENT, OR BUSINESS OPPORTUNITIES;
• ANY LOSS OF INVENTORY VALUE, OUT-OF-STOCK OCCURRENCES, OVERSTOCK COSTS, OR SUPPLIER DISPUTES, REGARDLESS OF CAUSE OR THEORY OF LIABILITY.

OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE TOTAL AMOUNT ACTUALLY PAID BY YOU TO US FOR THE USE OF STOCKLY DURING THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

13. Indemnification

You agree to defend, indemnify, and hold harmless Nazmul Codes and its affiliates from and against any third-party claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to your breach of these Terms, your store's operations, or your misuse of the Service.

14. Termination & Data Erasure

Either party may terminate this agreement at any time. You may terminate immediately by uninstalling Stockly from your Shopify store. Upon uninstallation or receipt of Shopify's shop/redact webhook, all stored sessions, cached inventory records, alert histories, and configuration settings associated with your store will be permanently purged in accordance with our Privacy Policy.

15. Modifications to Terms

We reserve the right to revise these Terms at any time. When changes are made, we will update the "Last updated" date at the top of this page. Your continued installation or use of Stockly following any modification constitutes your acceptance of the updated Terms.

16. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the applicable laws of the jurisdiction in which Nazmul Codes operates, without regard to conflict of law principles. Any dispute arising out of or relating to these Terms shall be resolved through good-faith mutual negotiation prior to seeking formal legal remedies.
